Terms of Service

1. Agreement to Terms

By accessing or using Prodovo Labs (“the Service”), operated by Prodovo Labs LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not access or use the Service.

These Terms constitute a legally binding agreement between you and Prodovo Labs LLC. By creating an account, accessing the Service, or using any output generated by the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Nature of the Service

Prodovo Labs is a compliance screening and decision-support software tool designed to help e-commerce and marketplace sellers identify likely regulatory requirements based on product characteristics.

The Service uses a combination of structured rule-based logic and artificial intelligence to analyze product information you provide. Because this analysis depends on the accuracy and completeness of your inputs, and because regulatory requirements change frequently, outputs may be incomplete, inaccurate, or outdated at any time.

You are solely and exclusively responsible for verifying all compliance requirements with qualified professionals, accredited testing laboratories, and relevant regulatory authorities before manufacturing, importing, distributing, or listing any product for sale.

3. Prohibited Uses of Service Outputs

You expressly agree that you will not:

• Present any output from the Service as a certification, approval, endorsement, or guarantee of product compliance
• Submit Service outputs to any marketplace, regulatory authority, customs agency, or testing laboratory as evidence of product compliance or as a substitute for required compliance documentation (CPC, GCC, test reports, etc.)
• Represent to any third party — including buyers, retailers, marketplace platforms, customs brokers, or regulators — that your product has been “certified” or “approved” by Prodovo Labs
• Use the Service to avoid, circumvent, or delay obtaining required third-party testing, certifications, or regulatory filings
• Rely on Service outputs as the sole basis for any manufacturing, importing, or listing decision without independent verification

Violation of this section constitutes a material breach of these Terms and may result in immediate termination of your account.

4. Account Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity under your account. You must notify us immediately of any unauthorized use.

5. Free Trial and Subscriptions

New accounts receive a 14-day free trial of the Pro plan. After the trial period, continued access to paid features requires an active subscription. Subscriptions are billed monthly and may be cancelled at any time. Upon cancellation, access continues through the end of the current billing period. No refunds are provided for partial billing periods.

We reserve the right to modify pricing with 30 days' notice. Price changes do not affect the current billing period.

6. Your Data and Inputs

You retain ownership of all product data, images, documents, and text you upload to the Service (“User Content”). By uploading User Content, you grant us a limited, non-exclusive license to process, analyze, and store that content solely to provide the Service to you.

You represent and warrant that you have all necessary rights to upload and share any User Content, and that your User Content does not infringe the intellectual property rights of any third party.

Accuracy of inputs: The quality and accuracy of Service outputs depend entirely on the information you provide. We have no obligation to verify the accuracy or completeness of your inputs. Incomplete, inaccurate, or misleading inputs will produce unreliable outputs.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to facilitate the sale of prohibited, counterfeit, or knowingly non-compliant products
• Reverse-engineer, decompile, or attempt to extract the source code, algorithms, or analysis logic of the Service
• Share your account credentials or allow unauthorized access to your account
• Use automated means (bots, scrapers) to access the Service beyond normal usage
• Attempt to circumvent usage limits, rate limits, or access controls
• Resell, sublicense, or redistribute the Service or its outputs as a competing service without our written consent
• Use the Service to generate outputs for the purpose of creating a competing product or service

8. Intellectual Property

The Service, including its design, code, analysis logic, screening rules, content, and documentation, is owned by Prodovo Labs LLC and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described herein.

9. AI and Automated Processing

The Service uses artificial intelligence and automated systems to analyze product information. AI-generated outputs may contain errors, omissions, or inaccuracies. We do not represent that any AI-generated output is complete, correct, or current.

AI models used by the Service are provided by third-party vendors. We do not control the training data, behavior, or limitations of these models. Outputs should always be independently verified.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANALYSIS RESULTS WILL BE ACCURATE, COMPLETE, OR CURRENT; (C) THE SERVICE WILL IDENTIFY ALL APPLICABLE REGULATORY REQUIREMENTS; OR (D) FOLLOWING SERVICE OUTPUTS WILL RESULT IN COMPLIANCE WITH ANY LAW, REGULATION, OR MARKETPLACE POLICY.

Regulatory requirements change frequently and vary by jurisdiction, product classification, intended use, and marketplace interpretation. The Service may not capture all applicable federal, state, local, or international requirements. You assume full responsibility for all compliance decisions made using or informed by the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODOVO LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, OR BUSINESS; LOSS OF DATA; PRODUCT RECALLS OR SEIZURES; REGULATORY FINES OR PENALTIES; MARKETPLACE SUSPENSIONS OR LISTING REMOVALS; IMPORT HOLDS OR CUSTOMS PENALTIES; TESTING OR REMEDIATION COSTS; OR LOSS OF BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIFTY DOLLARS ($50.00).

The limitations in this section apply even if we have been advised of the possibility of such damages and even if any limited remedy fails of its essential purpose.

12. Indemnification

You agree to indemnify, defend, and hold harmless Prodovo Labs LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your reliance on Service outputs; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party right; (e) any product you manufacture, import, distribute, or sell; or (f) any claim by a third party related to any product for which you used the Service.

13. Dispute Resolution and Arbitration

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (“Dispute”) shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Virginia. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. YOU AND PRODOVO LABS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate the claims of more than one party and may not preside over any form of representative or class proceeding.

Exceptions. Either party may bring an individual action in small claims court for Disputes within the court's jurisdiction. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

Opt-Out. You may opt out of this arbitration provision by sending written notice to legal@prodovo.io within 30 days of first creating your account. If you opt out, Disputes will be resolved in the state or federal courts located in Virginia.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. For any Disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Virginia.

15. Termination

We may suspend or terminate your account immediately and without notice for violation of these Terms, including but not limited to misrepresentation of Service outputs as certifications or approvals. You may cancel your account at any time. Upon termination, your right to use the Service ceases immediately. We may delete your data after 30 days following termination.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Service at least 15 days before taking effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those Terms.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Prodovo Labs LLC regarding the Service. These Terms supersede all prior agreements, understandings, or representations regarding the Service.
